1. What is the voluntary bond exchange?
IuteCredit Finance S.à r.l. is offering Mintos clients who hold the 11.00% 2026 Bond (ISIN: XS2378483494) the opportunity to exchange their holdings for the new 12.00% 2030 Bond (ISIN: XS3047514446).
2. Do I have to participate?
The exchange is fully voluntary. If you do nothing by the deadline, your 2026 Bond holdings remain unchanged.
3. What are the exchange terms?
The exchange is 1:1 at par (100.00) — EUR 1 face value of the 2026 Bond for EUR 1 face value of the 2030 Bond. No discount, premium, or fees are charged to you.
4. Can I exchange only part of my holdings?
No. Only a full exchange of your 2026 Bond holdings is available.
5. How does the 2030 Bond differ from the 2026 Bond?
The 2030 Bond pays a higher coupon (12.00% vs 11.00%) but matures approximately 4 years later (December 2030 vs October 2026). The coupon is paid semi-annually until June 2029, then quarterly. Both bonds are rated B- by Fitch and listed on Frankfurt and Nasdaq Tallinn.
6. What are the main risks?
The key risks are credit/default risk and country/geopolitical risk (both rated HIGH), given the B- issuer rating and the group's exposure to markets, including Ukraine. Liquidity, foreign exchange, and regulatory risks are rated MEDIUM. Your investment is not covered by any deposit guarantee scheme. Please read the full Listing Prospectus before deciding.
7. Are there any fees?
No costs are charged to you. Mintos receives a distribution fee directly from the issuer, which is not deducted from your holdings or proceeds.
8. How do I participate?
Complete and submit the Participation Instruction Form on the Mintos platform by 25.06.2026, 23:59 CET. Once submitted, your instruction is binding and irrevocable.
9. When does the exchange settle?
The expected settlement date is: 2030 Bond 30 June 2026. and 2026 Bond 1 July 2026.
